Terms of Service

By accessing vigorous.co.in or engaging Vigorous Manpower Services Private Limited ("Vigorous," "we," "us," or "our") for any service, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy.

If you are entering into this agreement on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not have that authority, you must not accept these Terms.

We reserve the right to modify these Terms at any time. Changes will be communicated via email and posted on this page. Continued use of our services after changes constitutes acceptance of the new Terms.

Vigorous provides digital marketing services including but not limited to: Search Engine Optimization (SEO), Google Ads Management, Meta Ads Management, Social Media Marketing, Content Marketing, WhatsApp & Email Marketing, Website Design & Development, and AI Agent Automation deployments.

Specific deliverables, timelines, and pricing for your engagement will be confirmed in a separate Scope of Work or Proposal document, which, once accepted by both parties, forms part of these Terms.

We reserve the right to refuse service to any party for any reason, including where we believe the requested services conflict with our values, legal requirements, or the interests of our existing clients.

We may engage third-party vendors and contractors in delivering services. These parties are bound by appropriate confidentiality and service agreements.

All fees are due in advance of the service period unless otherwise agreed in writing. Monthly retainer services are billed on the 1st of each calendar month.

Invoices are payable within 7 business days of the invoice date. Late payment beyond 14 days may result in service suspension until the outstanding amount is settled.

Prices are exclusive of applicable taxes. GST at the prevailing rate will be added for all services provided to Indian entities. International clients are not subject to Indian GST.

Payments are non-refundable once work has commenced, except where Vigorous has failed to deliver agreed services and the client elects to terminate the engagement.

For one-time project engagements, a 50% advance payment is required before work commences, with the remaining 50% due upon project completion before final delivery.

You agree to provide Vigorous with accurate, complete, and up-to-date information, assets, and access credentials required to perform the agreed services.

You are responsible for ensuring that all materials, content, brands, and intellectual property you provide to us for use in campaigns or website development are legally owned by you or properly licensed.

You agree to review and provide feedback on deliverables within the agreed timeline specified in your project scope. Delays in feedback that impact our delivery timelines do not constitute grounds for refund or penalty to Vigorous.

You are responsible for maintaining the security of your own platform login credentials, advertising accounts, and website backends. Vigorous is not liable for breaches originating from compromised client credentials.

Upon receipt of full payment, all final creative deliverables produced specifically for your engagement (website designs, ad creatives, written content) become your property.

All internal tools, methodologies, frameworks, processes, templates, and proprietary systems developed by Vigorous remain the exclusive intellectual property of Vigorous, even if used in delivering your services.

You grant Vigorous a non-exclusive, royalty-free license to use your brand name, logo, and campaign performance data for the purpose of providing services and for anonymised portfolio and case study references, unless you request otherwise in writing.

Vigorous retains the right to include completed work in its general portfolio unless you make a written request for exclusion at the time of project completion.

Vigorous provides digital marketing services on a best-effort basis. While we are committed to delivering measurable results, we cannot guarantee specific outcomes in rankings, conversions, or revenue, as results are influenced by market conditions, advertising platform changes, and factors outside our control.

To the maximum extent permitted by law, Vigorous shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, business, or goodwill, arising out of your use of, or inability to use, our services.

Our total liability to you for any claim arising from these Terms or our services shall not exceed the total fees paid by you to Vigorous in the three (3) months preceding the event giving rise to the claim.

We are not responsible for disruptions caused by third-party platforms (Google, Meta, WhatsApp, etc.) including policy changes, account suspensions, or algorithm updates.

Either party may terminate the engagement by providing 30 calendar days written notice. Services will continue through the notice period, and outstanding fees through that period remain payable.

We reserve the right to terminate immediately if you breach these Terms, engage in fraudulent activity, provide false information, or take actions that harm the reputation or operations of Vigorous.

In the event of a dispute, both parties agree to first attempt good-faith resolution through direct negotiation. If unresolved within 30 days, the dispute shall be submitted to mediation before any legal action is pursued.

These Terms are governed by and construed in accordance with the laws of India, and any disputes shall be subject to the exclusive jurisdiction of the courts of Ahmedabad, Gujarat.
